Terms of Service

1. Who we are

Latent Layer LLC ("Latent Layer," "we," "us") is a Delaware limited liability company operating remotely.

2. The Service

We provide consumer software for AI-assisted image and video creation and editing. The Service may integrate third-party services, including third-party AI providers, to deliver certain functionality.

3. Eligibility and accounts

• You must use the Service in compliance with applicable laws.
• Certain features may require an account. You are responsible for maintaining the confidentiality of your credentials and all activity under your account.
• We may suspend or terminate accounts for violations of these Terms or for security reasons.

4. User content

A. Your content

You may upload images, videos, files, and related inputs ("User Content") to use the Service.

B. Permission to process

You grant Latent Layer a limited, non-exclusive, worldwide license to host, store, and process User Content solely to provide the Service to you and to maintain and secure the Service, including abuse prevention, fraud detection, troubleshooting, and quality assurance. "Quality assurance" means verifying that the Service functions as intended (e.g., debugging, reliability, and output delivery) and does not include training machine learning models or building training datasets from your User Content.

C. No training

We do not use your User Content to train proprietary AI models.

D. Your responsibility

You represent that you have the necessary rights to upload and process your User Content and that it does not violate any law or third-party rights.

5. Prohibited use

You agree not to:

• Upload illegal content or content that infringes others' rights (including intellectual property)
• Use the Service to create or distribute harmful, abusive, exploitative, or harassing content
• Attempt to bypass rate limits, safety systems, or access controls
• Interfere with or disrupt the Service or our systems
• Use the Service for any restricted or unlawful commercial activity

We may remove content or restrict access if we reasonably believe there is a violation.

6. Third-party services and outputs

• The Service may rely on third-party providers (including AI providers). Their terms may apply to certain components.
• AI-generated outputs may be inaccurate, incomplete, or unsuitable for your intended use. You are responsible for reviewing outputs before relying on them.
• We do not guarantee outputs are unique or free of third-party claims.

No Critical Use. You agree not to rely on outputs from the Service for medical, legal, financial, safety-critical, or other high-stakes decisions, and you are solely responsible for verifying outputs before use.

7. Paid features, subscriptions, and refunds

A. Paid features

Some features may require payment (subscription and/or one-time purchases). Pricing and billing terms will be presented at the time of purchase.

B. Refund policy

We offer a 14-day refund from the purchase date for eligible purchases, subject to abuse prevention and applicable law. To request a refund, contact support@latentlayer.net with relevant purchase details. We may deny refund requests where we reasonably detect fraud, chargeback abuse, or misuse.

8. Availability and changes

We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms; changes take effect when posted with an updated Effective Date.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LATENT LAYER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LATENT LAYER WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

IN ALL CASES, LATENT LAYER'S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO LATENT LAYER FOR THE SERVICE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR USD $100, WHICHEVER IS LESS, UNLESS APPLICABLE LAW REQUIRES OTHERWISE.

11. Indemnification

You agree to indemnify and hold Latent Layer harmless from claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your User Content, your use of the Service, or your violation of these Terms.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if needed for security, legal compliance, or risk management.

13. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
